EXHIBIT B CODE OF CONDUCT FOR USE OF THE FACILITY

1.   SAFETY AND COMPLIANCE STANDARDS 

a.              Compliance With Laws Organizer will, at its own expense, comply and cause its employees, agents, contractors, volunteers, patrons, and invitees to comply with all laws, ordinances, orders, rules, regulations and requirements of all federal, state, county and metropolitan governments, commissions, and officers, including but not limited to the Seattle Police Department and the Seattle Fire Department, and all policies, rules, regulations, and Visitor Guidelines established by MOPOP for the use of the Facility, and all obligations regarding conduct, imposed upon Organizer under this Agreement. 

b.              Safety Compliance Organizer and Guests will follow safety guidelines provided by MOPOP staff and respect emergency procedures. Any unsafe conditions must be reported immediately to MOPOP staff.  
 
c.              Facility Accessibility Organizer and Guests will not obstruct any passageway or fire exit in the Facility and will keep all passageways and fire exits clear at all times. No portion of the sidewalks, driveways, grounds, entries, doors, passages, vestibules, halls, lobbies, stairways, and elevators will be impeded by Organizer or Guests, or used for any purpose other than for access to and from the Facility.

d.              Hazardous Materials Organizer will not bring into the Facility any material, substance, equipment, or object which is likely to cause damage to the Facility, endanger the life of, or to cause bodily injury to, any person in the Facility or which is likely to constitute a hazard without the prior written approval of MOPOP. 

e.              Substance Use The use of illegal substances is strictly prohibited on MOPOP premises. If alcohol is permitted for an event, consumption must be in moderation, comply with local laws and regulations, and be limited to designated areas.  

f.               Prohibited Items Weapons, fireworks, pyrotechnics (unless specifically approved in writing and properly insured), and other dangerous items are prohibited. Live animals are not permitted unless approved in writing by MOPOP or as service animals assisting persons with disabilities as provided under the Americans with Disabilities Act. 

g.              Public Health Compliance Organizer and Guests must comply with all applicable laws, orders and directives related to health and wellness, including, without limitation, applicable experience-related guidelines and testing, pandemic protocols, quarantine, and travel directives issued by the CDC, Washington State Governor’s Office, and other public health authorities. There is an inherent risk of exposure to pathogens in public places. By participating in the Experience, Organizer and its Guests are voluntarily assuming such risks.

h.              Attendee Capacity Organizer will not admit a number of Guests exceeding the capacity limits determined for the Area of Admission by the Seattle Fire Marshall or such official’s designee, and in no event no more persons than the number of Guests provided in Section
1.   

2. GENERAL CONDUCT STANDARDS. Organizer is responsible for Organizer and Guests’ actions and conduct while on Museum premises. All behavior must reflect the values and standards of the MOPOP. 

a.              Access to Facility. Organizer’s use of the Facility is non-exclusive. In permitting the admission of persons to the Facility, MOPOP retains the right to enforce all necessary and proper rules for the management and operation of the Facility. Duly authorized representatives of MOPOP may enter the Area of Admission and any other areas of the Facility at any time and on any occasion without any restrictions. The Facility, including the Area of Admission, will at all times be under the charge of MOPOP. MOPOP and Caterer will have the right to: (a) use any portion of the Facility not included in the Area of Admission, or (b) permit the use of any portion of the Facility not included in the Area of Admission to any person, firm or entity; regardless of the nature of the use of such other space. 

b.              Civility. MOPOP values all team members, partners and guests in our environment. It is our commitment to ensure that our Facility is free from negative, aggressive, and inappropriate behaviors, and that the environment is aimed at providing an atmosphere of collaboration, openness, safety and equity for people of all ages, gender expressions, races, cultures, religions, and abilities. All employees and visitors have the right to be treated with dignity. Organizer agrees to abide and hold all Vendors and Guests to this policy. All complaints of negative or inappropriate behaviors will be taken seriously and may result in ejection of offending person. 

c.              Respect for Others. Organizer and Guests must treat MOPOP’s staff and each other with respect and courtesy. Harassment, discrimination, bullying, or any behavior that creates a hostile environment is strictly prohibited. Violations may result in immediate removal from the premises without refund. 

3.    PROPERTY RESPECT AND LIABILITY 
a.              Damage or Defacement of Facility Organizer will not damage or deface the Facility or the Facility’s contents in any manner. Organizer will take reasonable precautions to prevent Guests admitted to the Facility from damaging or defacing the Facility. If the Facility is damaged or defaced during the Visit Period, Organizer will pay to MOPOP such sum as is necessary to restore that damaged portion of such Facility to its condition immediately prior to Organizer’s actual use of the Facility, unless such damage is the direct consequence of a MOPOP act or omission. Any damage to the Facility caused by Organizer or Guests is the financial responsibility of the Organizer. The Organizer will pay such sum as necessary to restore damaged portions of the Facility to their condition prior to use. 
 
b.              Objectionable Uses or Persons Any use of the Facility which is not in the best interest of MOPOP, or is in violation of any law, or in any way violates or infringes any other legal or proprietary right of any person, including, but not limited to copyright infringement, invasion of privacy, right of publicity, patent and trademarks, will be a material breach of this Agreement and will be grounds for immediate termination of this Agreement. 
 
c.              Prohibition on Live Animals Organizer will not permit any live animal to enter or remain in the Facility unless approved in writing by MoPOP, except for animals assisting disabled persons as provided in the Americans with Disabilities Act.   

d. Abandoned Equipment, Lost or Misplaced Articles and Equipment Storage Any equipment or article of Organizer or
Organizer’s employees, agents, contractors, volunteers, agents, patrons or invitees remaining in the Facility after the Visit Period ends may be considered abandoned and may be disposed of by MOPOP as MOPOP deems necessary and at the cost of Organizer, after reasonable notice to Organizer. MOPOP will assume no responsibility for losses suffered by Organizer, its employees, agents, contractors, volunteers, agents, patrons or invitees which are occasioned by theft or disappearance of equipment, articles or other personal property in and at the Facility. Organizer assumes full responsibility for materials or equipment shipped to MOPOP. Shipments cannot be accepted or stored by MOPOP more than two (2) days prior to the Experience and must be removed from the Facility before or during the Load Out period. 

e.              Intellectual Property and Proprietary Material Organizer will obtain all necessary licenses and take all other necessary steps to ensure that all use of third-parties’ intellectual property, including copyrighted materials that Organizer supplies or creates for use in the Facility during the Visit Period complies with and is licensed, as appropriate, under any applicable law, including but not limited to, all necessary clearances, licenses, and other permissions required to enable any broadcasting or recording related to the Experience. Subject to MOPOP’s request, Organizer will provide MOPOP with proof of all such licenses, clearances and other third-party agreements required for the recording or broadcasting of the Experience. 

f.               Disclosure of Experience Information Notwithstanding any other provision of this Agreement, MOPOP will have the right to provide third parties with Experience information but only to the extent required to meet its obligations under this Agreement, or as may be lawfully required to be disclosed. 

4.   VIOLATIONS AND CONSEQUENCES 
a.              Reporting Violations. Organizer is encouraged to report violations of this Code of Conduct to MOPOP staff or designated representatives. Open communication and dialogue are encouraged to resolve issues.  
Enforcement. This Code of Conduct will be enforced before, during, and after Organizer’s time at MOPOP. Failure to comply with these directives may result in removal from the premises and further actions as deemed necessary under Washington State law
